As many of you know, FCM is fundraising for a local journalism project, tentatively titled The Kansas City Investigators.  This is a nonprofit journalism project, which will be staffed mainly by volunteers, along with a paid editor-in-chief and three paid interns.  The goal is to promote ethical and transparent government.

To this end, FCM is holding a bingo fundraiser at Hamburger Marys’ Midtown KCMO location (3700 Broadway Blvd #110) on 8/21 from 4-6 PM.  Prizes will include handmade jewelry, KKFI and FCM t-shirts, and gift cards to local businesses.  Come for a hilarious afternoon of drag queens, bingo competition, drinks, burgers, exciting prizes, and extraordinary fun!  RSVP on Facebook at this link: https://www.facebook.com/events/493290592005801

Minutes from FCM 8/10/19 Meeting

Notes from the 8/10 Saturday meeting.

Quorum for board business established 2:15

Secretary – minutes from July meeting distributed online by Spencer on 8/3 (to be approved at September meeting since he was out of town)

Treasurer Last 7/31 statement showed a balance $3,362.29

Old business:
Upcoming Wayne Besen “Conversion Therapy in the Media” event at All Souls – Greg paid for the airfare on his credit card,
Tom volunteered to write a news release and PSAs for the media, Richard talked about getting the word out to various lists and he reached out to UMKC, Truth Wins Out, and others encouraged to contact groups that may be supportive. Richard volunteered to moderate the event. Need to contact Judy Ancel, Bill Clause. Possible media tour and reception. Tom will host Wayne at his home.

Greg will complete FCM’s annual registration form.

New Business: Discussion on reimbursing Greg for his purchase of airline ticket. Craig moved and Richard seconded
that Greg be reimbursed for $ 374. Motion passed unanimously and Tom wrote a check to Greg.

Craig brought up the issue of whether we needed a contract for future speakers so if they didn’t show up we would not have to pay. Discussion.

Tom is checking with David Barsamian about an October visit, and possible other events might be bringing in Tom Flynn from the Center of Inquiry who wrote a book dealing with Christmas and media topics. Craig said he could help with this event, possibly in November.

Discussion on setting up a debit card with our bank so people would stop having to pay for events from their own accounts and be reimbursed. Greg will check on this with the Great American Bank which holds our
checking account.

Planned meeting on improving the FCM website on Thursday. Tom will check into granting wider access to the website so others will be more free to contribute to it. Greg now has an FCM email address which will be helpful in working with the site.

Next meeting board/members will be on 9/14 at the KKFI annex room at 2:00 PM

Discussion of next potluck – Labor Day weekend not good so it was decided to have it on Sunday 8/25 at Spencer’s place at 5:00 PM after
checking with him

2019-2020 FCM Board Election Results

On April 21st the annual meeting of the members of Friends of Community Media took place. 11 attended. The goal was to elect board members to fill the expiring seats of M.C. Richardson, Richard Thompson, and Spencer Graves. Elected to fill those seats were Lynn Marie Norris, Spencer Graves, and Richard Thompson.

The FCM board of directors consists of 7 board members, 3 elected in one year and 4 elected in the next year. Current board members continuing to fill their final year for their 2-year terms are Craig Lubow, Greg Swartz, Susan Saracheck, and Tom Crane. Their seats will be up for election in 2020.

Also elected was Bill Clause as membership chairman who will help FCM grow its membership this year.

Following the annual meeting of the Friends of Community Media members, the new FCM board of directors elected officers of the board for 2019-2020. Elected as chair, was Tom Crane; vice-chairs Craig Lubow and Richard Thompson; treasurer, Greg Swartz; and Secretary, Spencer Graves.

AGENDA FOR 2019 ANNUAL MEMBER AND ANNUAL BOARD MEETING

4/21/10 AT THE KKFI ANNEX ROOM 3:30 PM.

The annual meeting of the Friends of Community Media 501(c)3 corporation consists of two meetings, the meeting of the membership of the group which will elect the 2019-2020 board of directors, and after adjourning, the new 2019-2020 board will meet to elect the officers of the board of the corporation.

Annual dues of $10.00 are paid to the FCM treasurer before the beginning of the meeting. 

Call to order 3:30 PM when a quorum is established.

The Friends of Community Media statement of purpose is read:

The mission of Friends of Community Media is to promote non-commercial  community-based media of all types, to educate citizens on the nature of the media, and to encourage all media to be responsive to the public in coverage.

A quorum for the carrying out of the annual meeting consists of the attendance of a majority of the members from 2018-2019.  New members may be voted in according to the bylaws to vote in the 2019-2020 election of the board.

Members who are eligible to vote have attended meetings in the past year and have paid their dues before the annual meeting begins.  New members who have been voted in will establish the new quorum of the membership for the coming year.

Election of the membership chairperson – According to the bylaws:

Sec. 11   The membership chairperson shall be elected at the annual meeting. The corporation secretary or a designee by members shall be responsible for taking minutes, the corporation secretary is responsible for keeping official copies.

Sec. 12   The presiding membership chairperson shall serve for one year, and may not serve more than two consecutive years as membership chairperson.  In the absence of the chairperson at any membership meeting, the members attending shall select another person to preside over that same meeting.  The membership chairperson shall sit ex-officio without vote on the board of directors.

ARTICLE VI–BOARD OF DIRECTORS

Sec. 1   The property and business of the corporation shall be managed and controlled by the board of directors.  The outgoing board of directors shall provide financial accounting of the corporation to the incoming board of directors after each election of a new board at the annual meeting of the corporation.

Sec. 2   The board of directors shall consist of seven directors, four directors in even years and three directors in odd years.  The board of directors shall be elected by the members at the regularly scheduled annual membership meeting which shall take place immediately before the annual board of directors meeting.  Each member of the board of directors shall serve for a term of two years.

          ARTICLE IV—MEMBERSHIP AND MEMBERSHIP COMMITTEE                              

Sec. 1   Classes of members:  The membership of the corporation shall have one class of    members.

Sec. 2   The membership committee shall be a standing committee chosen by the membership.  In the absence of a membership committee the entire FCM board shall act as the committee.  The membership committee shall establish specific criteria for membership in FCM.  Minutes shall be kept of membership committee meetings, and shall be appended to the minutes of the FCM board of directors.

Sec. 3   The membership committee shall be composed of three members consisting of at least two-non-board members.  Any person interested in becoming a member of the FCM shall submit a completed approved membership form to the secretary of the corporation and shall be retained in the FCM Corporation’s repository of official records in the office of record of the corporation.

Board members serve for 2-year terms.  There is a 7 member board of directors.  In 2018 year, 4 seats were filled and this year there are 3 seats to be elected with terms expiring for M.C. Richardson and Spencer Graves and Richard Thompson completing a 1 year term for a board member who resigned.
